End User License Agreement

PLEASE READ THIS AGREEMENT CAREFULLY BEFORE ACCESSING OR USING THE GRIP PLATFORM.

By accessing or using the Grip platform (including by clicking “I accept” or any equivalent confirmation on first login), you agree to be bound by this End-User Licence Agreement (“Agreement”). If you do not agree, you must not access or use the platform.

This Agreement is between you (“you”, “your”, “End User”) and Intros.at Ltd (trading as Grip), a company registered in England and Wales (company number 09343609), whose registered office is at Runway East London Bridge, Office 2.6, 18 Crucifix Lane, London, SE1 3JW (“Intros”, “we”, “us”, “our”).

Your access to the platform is provided in connection with an Event organised by a third-party event organiser (“Organiser”) who has licensed the Grip platform from Intros. The Organiser remains responsible for the Event and its own terms and conditions with you. This Agreement governs your use of the platform as software operated by Intros and is separate from and in addition to any terms agreed between you and the Organiser or between the Organiser and Intros. It applies to you personally as an end user of the platform.

1. Definitions

1.1 In this Agreement, the following definitions apply:

Acceptable Use Policy: the rules set out in clause 4.

Agentic Tool: any automated agent, AI-powered workflow, large language model integration, or autonomous software process that interacts with the platform on behalf of a user or third party without real-time human input for each individual action.

Content: any text, data, images, profiles, messages, documents or other material that you submit to, upload to, or generate on the platform.

Event: the industry event, conference, trade show or similar gathering in connection with which you have been granted access to the platform.

Guest Software: the co-branded version of Intros’ Grip application made available to you as a guest at the Event.

Platform: the Guest Software, the Grip web application, and any associated services, features and functionality made available to you under this Agreement, including user-to-user networking, matchmaking and meeting scheduling features.

Prohibited Conduct: the conduct described in clause 4.

Scraping: any automated or systematic extraction, collection, copying, monitoring or republication of data, content or information from the platform, whether by technical or other means.

2. Licence Grant

2.1 Subject to your compliance with this Agreement, Intros grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the platform solely for the purpose of attending and participating in the Event.

2.2 This licence does not include any right to:

(a) copy, reproduce, distribute or make derivative works of any part of the platform or its content;

(b) access or use the platform for any commercial purpose other than your own participation in the Event;

(c) sublicence, resell or otherwise transfer access to the platform to any third party; or

(d) use the platform in any way that exceeds the scope of this Agreement.

2.3 All intellectual property rights in the platform, the Guest Software, and any data, analytics, algorithms or other materials generated by or through the platform remain the property of Intros and its licensors. Nothing in this Agreement transfers any intellectual property rights to you.

2.4 Content available through the platform, including attendee profiles, matchmaking data and meeting schedules, may constitute a database or databases protected by copyright and/or database right under the Copyright, Designs and Patents Act 1988. You acknowledge that the extraction or re-utilisation of a substantial part of such database(s), or repeated and systematic extraction or re-utilisation of insubstantial parts, is prohibited without Intros’ prior written consent.

2.5 You must not access or use the platform, or any data obtained from it, for the purpose of building, developing or operating any product or service that directly or indirectly competes with the platform or any service offered by Intros.

2.6 You must be a registered attendee, exhibitor, speaker, sponsor or other authorised participant of the relevant Event to access and use the platform. You represent and warrant that you meet this eligibility requirement.

3. Account Security

3.1 You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

3.2 You must not share your access credentials with any third party or permit any other person or automated process to access the platform using your credentials.

3.3 You must notify Intros promptly if you know or suspect that your credentials have been compromised.

3.4 Intros may suspend or disable your account at any time if it reasonably suspects that your credentials have been compromised or that your account is being used in breach of this Agreement.

4. Acceptable Use

4.1 You must use the platform in accordance with this clause 4 and all applicable laws and regulations. You must comply with these standards both in letter and in spirit.

Scraping and Automated Access

4.2 You must not conduct, facilitate, authorise or permit any Scraping of the platform. This prohibition applies regardless of the purpose of the Scraping and includes using (or permitting, authorising or attempting the use of):

(a) any robot, bot, spider, crawler, scraper or other automated device, program, tool, algorithm, code, process or methodology to access, obtain, copy, monitor or republish any portion of the platform or any data, content, information or services accessible via the platform;

(b) any Agentic Tool to interact with, query or extract data from the platform without Intros’ prior written consent;

(c) any automated analytical technique aimed at analysing text and data in digital form to generate information or to develop, train, fine-tune or validate any AI system or model; or

(d) any technique designed to circumvent technical measures implemented by Intros to prevent or restrict automated access.

4.3 The prohibition in clause 4.2 constitutes an express reservation of Intros’ rights for the purposes of section 29A of the Copyright, Designs and Patents Act 1988 and any other applicable text and data mining exceptions. Intros does not consent to the use of the platform or any data accessible via the platform for the purposes of developing, training, fine-tuning or validating any AI system or model.

4.4 You must not use any data obtained from the platform (including other users’ profile information, meeting data or contact details) for any purpose other than your own participation in the Event, including building, compiling or augmenting any external database, contact list, mailing list or lead generation resource.

User-to-User Conduct

4.5 When using the platform’s user-to-user features, including meeting scheduling, matchmaking and messaging, you must not:

(a) send unsolicited bulk messages or communications to other users;

(b) impersonate any person or misrepresent your identity, affiliation or role;

(c) use the platform to harass, stalk, threaten, abuse or intimidate any other user;

(d) collect or harvest other users’ personal data or contact information for purposes other than participating in the Event; or

(e) use meeting scheduling or contact features to facilitate any commercial purpose unrelated to the Event.

Prohibited Content

4.6 You must not upload, post, share or transmit any Content that:

(a) is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or racially or ethnically offensive;

(b) infringes the intellectual property rights, privacy rights or other rights of any person;

(c) facilitates or encourages any illegal activity;

(d) constitutes spam, unsolicited advertising or promotional material;

(e) contains viruses, malware, Trojan horses, worms, keystroke loggers or any other harmful code or software;

(f) is false or misleading in a material respect;

(g) involves or promotes terrorism, child sexual exploitation, or any other category of illegal content as defined under the Online Safety Act 2023; or

(h) is harmful to children or would be likely to impair the physical, mental or moral development of persons under the age of 18.

Illegal Content

4.7 You must not use the platform in any way that involves, promotes, facilitates or constitutes:

(a) terrorism offences or the encouragement of terrorism; (b) child sexual exploitation or abuse, including grooming; (c) encouragement of suicide or serious self-harm; (d) harassment, stalking or threatening behaviour; (e) hate offences; (f) fraud or financial services offences; (g) sexual exploitation of adults; (h) proceeds of crime offences; (i) controlling or coercive behaviour; (j) drugs or psychoactive substance offences; (k) firearms or other weapons offences; (l) unlawful immigration or human trafficking offences; (m) intimate image abuse offences; (n) foreign interference offences; or (o) any other offence under the laws of England and Wales or any other applicable jurisdiction.

System Integrity

4.8 You must not:

(a) attempt to gain unauthorised access to any part of the platform, its underlying systems, or any data held by Intros; (b) interfere with, disrupt or damage the platform or any network or server on which it runs; (c) attempt to circumvent any security or access control measure implemented by Intros; (d) carry out any denial-of-service or distributed denial-of-service attack against the platform; (e) reverse engineer, decompile, disassemble or otherwise attempt to derive the source code, underlying algorithms or data structures of the platform or any part of it; (f) probe, scan or test the vulnerability of the platform or any connected system or network; or (g) make excessive automated requests to the platform or otherwise impose an unreasonable load on Intros’ infrastructure.

4.9 Conduct falling within clause 4.8 may constitute a criminal offence under the Computer Misuse Act 1990. Intros will report credible evidence of such conduct to the relevant law enforcement authorities and will cooperate with any resulting investigation.

5. Content You Submit

5.1 You retain ownership of Content you submit to the platform. By submitting Content, you grant Intros a non-exclusive, worldwide, royalty-free licence to use, store, copy and process that Content solely for the purposes of operating and providing the platform and its features.

5.2 You warrant that any Content you submit: (a) complies with the Acceptable Use Policy; (b) does not infringe the intellectual property rights or other rights of any third party; and (c) does not contain any personal data of third parties unless you have a lawful basis for sharing it.

5.3 You are liable to Intros for any loss or damage Intros suffers as a result of a breach of the warranty in clause 5.2.

5.4 Intros may remove any Content that it reasonably considers to be in breach of this Agreement or applicable law, without prior notice.

6. Data Protection

6.1 Intros will process your personal data in connection with your use of the platform in accordance with its Privacy Notice, available at https://www.grip.events/utility-pages/privacy-policy. The Organiser may also process your personal data in connection with the Event and will have its own privacy notice. You should read both the Intros Privacy Notice and the Organiser’s privacy notice carefully before using the platform.

6.2 The platform facilitates user-to-user interactions. When you share profile information or make contact with other users, that information may be visible to or received by those users. You are responsible for the personal data you share with other users through the platform.

6.3 You must not use personal data obtained about other users through the platform for any purpose other than participating in the Event, and must not retain, process or transfer such data in a manner inconsistent with applicable data protection law.

6.4 Intros may collect and process usage data, performance metrics, behavioural analytics and telemetry data in connection with the operation of the platform. Such data may be used by Intros for its own purposes, including platform improvement, product development and aggregate statistical analysis, provided that any personal data is processed in accordance with the Privacy Notice. Depending on the context, Intros and the Organiser may each act as a data controller in relation to certain processing activities connected with the platform and the Event.

7. Online Safety

7.1 Intros is committed to operating the platform in compliance with the Online Safety Act 2023 and any applicable Ofcom guidance and codes of practice. The platform is designed for use by business professionals attending industry events and is not directed at children under the age of 18.

7.2 You can report Content you consider to be illegal or harmful, or report conduct by other users that you believe breaches this Agreement, by contacting Intros at support@grip.events or using the in-platform reporting functionality.

7.3 Intros will assess and respond to reports in accordance with its published risk assessment and content moderation procedures. In response to a report or on its own initiative, Intros may take any of the enforcement actions described in clause 8.1, including removal of Content, suspension or termination of access, and referral to law enforcement where appropriate.

7.4 If Intros removes Content you have submitted or restricts or terminates your access to the platform on the basis of a breach of this Agreement or applicable law, you may raise a complaint by contacting us at support@grip.events. Intros will acknowledge your complaint promptly and will respond with the outcome of its internal review in accordance with its published complaints procedure. If you consider that the restriction of your content or access breaches this Agreement, you have a right to bring a claim against Intros for breach of contract.

7.5 Intros will take down illegal content promptly on becoming aware of it. Intros maintains an Online Illegal Harms Risk Assessment.

7.6 Intros may use automated tools and technologies, including content filtering and behavioural analysis, to detect, prevent and respond to illegal content, Prohibited Conduct and breaches of this Agreement. The use of such tools is described in Intros’ risk assessment and content moderation procedures.

7.7 You may report any of the following: (a) Content you consider to be illegal; (b) conduct you consider to be harmful to children; (c) concerns that Intros’ reporting systems do not allow easy reporting of illegal or harmful content; or (d) concerns that Intros has insufficiently considered users’ rights to freedom of expression or privacy in its content moderation decisions.

8. Suspension and Termination

8.1 Intros may, without liability, take any one or more of the following enforcement actions if it reasonably considers that you have breached or are breaching this Agreement, or if otherwise permitted under this clause 8: (a) issue a warning; (b) temporarily or permanently remove any Content you have submitted; (c) restrict or limit your access to specific features of the platform, including messaging, meeting scheduling or matchmaking; (d) throttle, rate-limit or block automated or excessive requests from your account or associated IP addresses; (e) cancel scheduled meetings arranged through the platform; (f) suspend your access to the platform for a specified period; or (g) terminate your access to the platform permanently.

8.2 Intros may take any of the actions in clause 8.1 immediately and without prior notice if: (a) you breach any provision of this Agreement; (b) Intros has reasonable grounds to suspect that your account has been used for Prohibited Conduct; (c) Intros is required to do so by law or by any regulatory or government authority; or (d) the Organiser of the relevant Event reasonably requests suspension or termination of your access in connection with the operation or security of the Event.

8.3 On termination of your access, your licence to use the platform ceases immediately. Termination does not affect any rights or remedies that Intros has accrued.

8.4 Intros may notify the relevant Organiser of any breach of this Agreement, including where that breach relates to conduct at the Event. The Organiser may have separate rights to take action, including physical removal from the Event, under its own terms and conditions with you.

9. Limitation of Liability

9.1 Nothing in this Agreement excludes or limits Intros’ liability for death or personal injury caused by its negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded.

9.2 Subject to clause 9.1, Intros is not liable to you for: (a) any indirect, consequential, incidental or special loss or damage; (b) loss of profits, business, data, opportunity or goodwill; or (c) any loss arising from your reliance on Content provided by other users.

9.3 The platform is provided on an as-is basis for the purpose of Event participation. Intros does not warrant that the platform will be uninterrupted, error-free or suitable for any particular purpose beyond that described in this Agreement.

9.4 Intros does not control, endorse or take responsibility for the conduct of any user of the platform or for any interaction, communication, meeting or transaction between users. You use the platform’s user-to-user features at your own risk. Intros is not liable for any loss or damage arising from your interactions with other users, whether online or at the Event.

9.5 Subject to clause 9.1, Intros’ total aggregate liability to you under or in connection with this Agreement shall not exceed £100 (one hundred pounds sterling).

10. General

10.1 Entire agreement. This Agreement constitutes the entire agreement between you and Intros in respect of your use of the platform as an end user and supersedes any prior representations or understandings on the same subject matter.

10.2 Amendment. Intros may update this Agreement from time to time. The current version will be available at https://www.grip.events/utility-pages/end-user-license-agreement. Continued use of the platform following notification of an update constitutes acceptance of the updated terms.

10.3 Severance. If any provision of this Agreement is found to be unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remainder of this Agreement will continue in full force.

10.4 No waiver. Failure by Intros to enforce any provision of this Agreement does not constitute a waiver of its right to enforce that provision in future.

10.5 Third-party rights. Nothing in this Agreement confers any rights on any third party under the Contracts (Rights of Third Parties) Act 1999, except that Intros’ group companies may enforce any provision of this Agreement that is expressed to benefit them.

10.6 Governing law and jurisdiction. This Agreement and any dispute or claim arising out of or in connection with it (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales. Each party irrevocably submits to the exclusive jurisdiction of the courts of England and Wales.
